These Affiliate Terms of Service describe how Secnd Inc. (the "Site", "we", "us", or "our") operates its affiliate program available through secnd.ca (the "Site") and outlines the terms and conditions for participation in our affiliate program.

1. Definitions

"You" and "your" means you as the affiliate, whether you are a store owner, content creator, student, or another individual participating in the affiliate program. By joining the affiliate program, you agree to these Terms of Service. If you do not agree, please do not apply to or participate in the program.

2. Changes to These Terms of Service

We may update these Terms of Service periodically. The updated terms will be posted on the Site with a revised "Last updated" date. Your continued participation in the affiliate program after such changes constitutes your acceptance of the revised terms.

3. Eligibility and Application

To be eligible for our affiliate program, you must:

• Be at least 18 years of age
• Complete our application process truthfully and accurately
• Have a genuine interest in vintage fashion and sustainable practices
• Maintain a website, social media account, or other platform that aligns with our brand values

All applications will be reviewed and you will be notified of approval within 48 hours. We reserve the right to reject any application without providing a specific reason.

4. Affiliate Obligations

As an affiliate, you agree to:

• Use only approved marketing materials provided by Secnd Inc.
• Disclose your affiliate relationship with Secnd Inc. in accordance with applicable laws
• Not engage in spamming or any deceptive marketing practices
• Not bid on trademarked terms related to Secnd Inc. in search engine advertising
• Maintain the confidentiality of your affiliate account information

5. Commission Structure and Payments

Commission rates and bonus structures are subject to change and are outlined on our website and in communications sent to your registered email address. For current commission rates and payment details, please refer to the Affiliate Program section on our website or contact our affiliate team.

Qualified referrals are tracked through your unique referral link. A successful referral is defined as a new customer who completes a purchase using your referral link.

We offer various payment methods including PayPal and direct bank transfers. You may also elect to receive store credit with bonus value. For detailed information about minimum payout thresholds and payment schedules, please refer to our website or contact our affiliate support team.

6. Term and Termination

The term of this agreement begins upon your acceptance into our affiliate program and continues until terminated by either party. Either party may terminate this agreement at any time, with or without cause, by giving written notice to the other party.

We reserve the right to terminate your participation in the affiliate program immediately and without notice if you violate these Terms of Service or engage in any fraudulent activity.

7. Tracking and Reporting

We provide a transparent dashboard for tracking your referrals and earnings. You will have access to reports showing clicks, conversions, and commissions earned. While we make every effort to ensure accurate tracking, technical issues may occasionally affect the system. Please report any discrepancies promptly.

8. Intellectual Property

All marketing materials, logos, trademarks, and content provided to you are the property of Secnd Inc. You are granted a limited, non-exclusive license to use these materials solely for promoting Secnd Inc. as part of the affiliate program.

You may not modify these materials without our express written consent. The license to use these materials terminates upon the termination of your participation in the affiliate program.

9. Limitation of Liability

Secnd Inc. is not liable for any direct, indirect, incidental, or consequential damages arising from your participation in the affiliate program or any technical issues that may affect tracking or payment processing. Our maximum liability is limited to the amount of commissions earned by you under this agreement.

10. Miscellaneous

These Terms of Service constitute the entire agreement between you and Secnd Inc. regarding your participation in the affiliate program. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect.

This agreement is governed by the laws of Canada. Any disputes arising from this agreement shall be resolved through arbitration in accordance with the laws of the province of Ontario.
